1. Definitions

1.1. Terms and Conditions, T&C – this document constituting the contents of the Contract between the parties.

1.2. The Seller – Distinctive Rings LTD, 67 Millmead Business Centre, Mill Mead Road, London, England, N17 9QU, e-mail address: office@distinctiverings.co.uk

1.3. Buyer – a natural person or a company who concludes a purchase agreement with the Seller.

1.4. The Parties – the Buyer and the Seller.

1.5. Contract – purchase contract drawn between the Seller and the Buyer concluded in accordance with T&C.

1.6. Products – all items that may be purchased by the Buyer, manufactured in accordance with the specification provided by the Buyer offered by the Seller on www.distinctiverings.co.uk

1.7. Price List – a list of goods and services offered by the Seller and their prices constituting an attachment nr 1 to the T&C.

1.8. Consumer – an individual acting for purposes that are wholly or mainly outside that individual’s trade, business, craft or profession.                 

2. Basis of contract          

2.1. The Contract shall be concluded by placing an order on www.distinctiverings.co.uk, accepting Terms and Conditions and issuing payment.

2.2. In the process of placing an order the Buyer shall provide the following information:

2.2.1. First name,

2.2.2. Second name,

2.2.3. Company name (optional),

2.2.4. Country/region,

2.2.5. Street name,

2.2.6. Number of the building,

2.2.7. Apartment number,

2.2.8. City,

2.2.9. County,

2.2.10. Zip code,

2.2.11. Phone number,

2.2.12. E-mail address,

2.2.13. The engraving.

2.3. It is possible to provide order notes. This step is optional.

2.4. Placing an Order by the Buyer is equivalent to accepting Terms and Conditions. The Terms and Conditions constitute the entire Contract. Any alteration to the contents of the T&C requires a document form.

2.5. It is also possible to place an order for non-standard Products. In such a case, the Buyer should contact the Seller via e-mail on the following e-mail address: sales@distinctiverings.co.uk and present their expectations. The Seller shall inform the Buyer whether it is possible to complete such an order and if so, provide an individual pricing for the execution of such an order. Proceeding with the order is conditional on the Buyer paying the full price. The price shall be paid by transfer on the bank account provided by the Seller. Unless the Parties have made different arrangements, the provisions of the Terms and Conditions shall apply to orders placed via e-mail.

2.6. The Contract is considered concluded from the moment of crediting the funds constituting the equivalent of the price to the Seller’s bank account.

3. Prices

3.1. The price of a Product is depending on qualities of the Product such as materials, jewels used etc.

3.2. The price is provided in each offer, is expressed in GBP and includes binding VAT tax, except for the situation described in point 2.5.

3.3. The Buyer choses a size of the Product in the order form. The Buyer at their discretion, may also apply other modifications, if possible. Basing on this information, the form calculates the price of the Product with qualities chosen by the Buyer. The price provided in the order form is binding throughout the entire process of placing an order.

3.4. The price includes the shipping costs.

4. Order prrocessing time and shipment

4.1. The standard order processing time is from 6 to 9 weeks.

4.2. It is possible to speed up the order processing. In this case, the order processing lasts for 2 to 3 weeks. Such a service is payable in accordance with the Price List.

4.3. The Seller reserves that the time of processing the order may be extended. The Seller shall inform the Buyer on the expected delivery time.

4.4. There are the following shipment options:

4.4.1. by courier directly to the address indicated by the Buyer,

4.4.2. personal collection from the company representative.

4.5. In case of the shipment option mentioned in section 4.4.2., the representative is entitled to verify an identity of the person collecting the order. Only the person, whose personal data is provided in the order form shall be authorized to collect the order.

5. Payment

5.1. The Buyer is obliged to issue a full payment directly in the order process. The payment may be issued:

5.1.1. by providing debit card or credit card data

5.1.2. via one of the following electronic payment systems:

5.1.2.1. Trustly,

5.1.2.2. Google Pay,

5.1.2.3. Apple Pay,

5.1.2.4. PayPal.

5.2. In case of choosing payment method mentioned in point 5.1.2. above, the Buyer will be redirected to the chosen electronic payment system to finalize a transaction. This does not apply to the situation described in point 2.5.

5.3. The payment is considered issued once it is credited to the Seller’s bank account.

6. Product modifications

6.1. Each Product is customized in accordance with individual Buyer’s instruction. Each Product is engraved in accordance with the Buyers specifications.

6.2. Possible additional modifications are:

6.2.1. Width change if possible for a specific Product,

6.2.2. Size change.

6.3. Please note, that due to the individual qualities of each Product some modifications listed in section 6.2. above may not be possible to apply. A list of possible modifications is provided in each offer.

6.4. The Seller provides design mock-ups for customer approval. Three revisions are included; additional revisions are payable in accordance with the Price List.

6.5. Please, note that size change of a ring being engraved with the dark laser engraving may become brighter due to a natural reaction being a response to applying heat on the Product.

6.6. The engraving may be made based on:

6.6.1. The Buyer’s design. In such a case, the Buyer declares that the designs are free from legal encumbrances and will not infringe copyrights.

6.6.2. The design created by the Seller:

6.6.2.1. chosen by the Buyer from the designs already created and listed in the archive on the Seller’s website – free of charge

6.6.2.2. prepared specifically accordingly to the Buyer’s guidelines. In such a case, the Seller presents a design for the Buyer to accept it before applying it on the Product. Preparing such a design involves the obligation to pay a fee in the amount resulting from the Price List. If one design is applied on two rings, the fee is charged once. The fee is also applying to situations where the Seller has made designs, and the Buyer finally resigned from engraving them. In the design consultation process, the first three corrections are included, each subsequent one is associated with the obligation to pay a fee in the amount resulting from the Price List.

6.7. Standard inscriptions inside the rings are made with a mechanical engraving machine, this technology allows for the correction of a possible error in the case of handwriting, graphics, drawings of the ring. The inside engravings are made with a laser, any correction often requires making the ring from the beginning therefore, the Buyer shall accept the designs very carefully and responsibly. Once the design is accepted, there is no possibility to apply any change or correction.

6.8. Standard size adjustments (up or down by two sizes) are chargeable in accordance with the individual pricing depending on the type of the Product. The possibilities of non-standard adjustments (more than up or down by two sizes) may be limited, therefore the adjustment shall be discussed and agreed upon by the Parties.

7. Intelectual property rights

7.1. All designs, photographs, graphic works, texts and any other artistic works are subject to the intellectual property right of the Seller. The Seller is solely entitled to dispose of these rights.

7.2. The artistic works mentioned in the section 7.1 above may not be reproduced, copied, mdified or used in any way without the author’s permission.

8. Right to cancel the contract and right to cancel an order

8.1. All Products offered by the Seller are classified as bespoke, custom-made goods.

8.2. Such a goods are specifically excluded from the 14-day cooling-off period. As a result, the Seller is not required to accept returns or offer refunds for custom-made items unless the goods are faulty, damaged, or not as described.

8.3. However, regardless of the exclusion mentioned in 8.1-8.2 the Buyer has the right to cancel the order for the period of 7 days from placing an order – free of charge.

8.4. To execute the right mentioned in section 8.3 above, the Buyer shall contact the Seller and inform them on cancelling the order.

8.5. If the Buyer cancels the order in accordance with point 8.3 and the order has been paid, the Seller returns the price to the Buyer to the bank account from which the payment was made without undue delay, but no later than within 14 days from the date of receipt of information about the cancellation pursuant to 8.4.

9. Quality and warrancy

9.1. Please, note that some materials such as for example mokume gane or damascus steel are unpredictable and the Seller may not guarantee that the final Product is going to be exactly as presented in the offer. Some slight differences may occur. Seller shall include information on such a possibility in the description of the Product manufactured from such a material. The photos included in each offer are for illustrative purposes only. The Ordering such a Product is tantamount to accepting this circumstance.

9.2. The Seller uses materials with an EU certificate for allergies. The Seller is not responsible for any possible allergic reaction that may occur. The Buyer is obliged to verify whether the material of the Product is suitable for their individual needs. However, in same cases it is possible for the Seller to propose a solution that shall be satisfactory for the Buyer.

9.3. The Seller buys stones from reputable suppliers who guarantee their “pure” origin. The Seller issues stone certificates:

9.3.1. for smaller ones – certificates issued by our suppliers,

9.3.2. for larger – certificates issued by certified experts.

9.4. The Seller has quality certificates for all base metals it uses – cobalt, titanium, tantalum, zirconium and can make them available for inspection at the Buyer’s request.

9.5. The Seller offers a 3-year warranty that covers defects but excludes natural wear and tear, such as surface scratches.

9.6. The warranty does not apply to:

9.6.1. changes in texture and natural abrasion resulting from standard use of the Product, e.g. scratches and polishes;

9.6.2. damage caused by any mechanical breakage, for example caused by violent contact with hard materials/objects, resulting from a fall from a height on a hard surface, emergency cut, crushing by heavy objects, doors, repairs, etc;

9.6.3. changes and damages resulting from the actions of other people, in particular jewelers, goldsmiths.

9.7. In order to exercise the Buyer rights resulting from warranty, the Buyer is obliged to provide the Seller with photos of the Product taken from each angle. The Seller shall verify the condition of the Product and inform the Buyer on the decision regarding accepting the warranty claim. In some cases, it may not be possible to assess the condition of the Product based on the photos. In such a case, the Seller will inform the Buyer about the above and request that the Product be sent to the store’s address. Shipping is at the Buyer’s expense and risk. Failure to send the Product to the store’s address despite such request will be treated as a withdrawal of the warranty claim by the Buyer.

10. Implied warranty

10.1. If a Product is faulty, damaged, or does not match the description provided at the time of sale, The Buyer being a consumer has rights under the Consumer Rights Act 2015. In such case, the Buyer rights are:

10.1.1. the short-term right to reject;

10.1.2. the right to repair or replacement;

10.1.3. the right to a price reduction or the final right to reject.

10.2. In order to exercise the Buyers rights resulting from the implied warranty, the Buyer is obliged to provide the Seller with photos of the Product taken from each angle. The Seller shall verify the condition of the Product and inform the Buyer on the decision regarding accepting the implied warranty claim. In some cases, it may not be possible to assess the condition of the Product based on the photos. In such a case, the Seller will inform the Buyer about the above and request that the Product be sent to the store’s address. Shipping is at the Buyer’s expense and risk. Failure to send the Product to the store’s address despite such request will be treated as a withdrawal of the implied warranty claim by the Buyer.

10.3. The Seller does not provide an implied warranty on products for any Buyers other than consumers.

11. Liability and limitation of the liability

11.1. Due to the manual nature of making Products, deviations of +/- 0.15 mm are allowed – this does not apply to the size of the rings.

11.2. The Seller is obliged to perform a contract in accordance with T&C. The Buyer being a consumer has the right to recover from the Seller the amount of any costs incurred by the consumer as a result of the breach, up to the amount of the price paid.

11.3. It is not possible to set Buyer’s stones in Products offered by the Seller. The Seller does not offer a service of repairing or correcting a jewelry that was purchased elsewhere.

11.4. All parcels sent by courier are insured. The Seller is not responsible for delays in the delivery of parcels.

11.5. Damage due to third-party resizing or alterations is not the Sellers responsibility. The Seller can resize rings, but complex designs may incur additional costs. If a stone is damaged during resizing, the Seller will replace it at no extra charge.

11.6. Ring sizes are expressed in UK measures or in diameter expressed in mm. The Seller is not responsible for incorrect information about the size of the Products. Damage due to third-party resizing or alterations is not the Sellers responsibility. The Seller can resize rings, but complex designs may incur additional costs. If a stone is damaged during resizing, the Seller will replace it at no extra charge.

11.7. The Buyer being a Consumer is entitled to issue a complaint to an ombudsman free of charge. The list of ombudsman in the UK and the information of way of submitting a complaint are available on: https://www.ombudsmanassociation.org/find-ombudsman

12. Final provisions

12.1. All the disputes resulting from the Contract shall be the common courts.

12.2. This Contract is governed by the United Kingdom law.

13.1 Making a graphic design to be engraved for one ring accordingly with point 6.6.2.2. of the T&C – £50
